On the Adobe site under Director 3D FAQ's it says:
There is a free plug-in that allows you to convert 3DS files to OBJ files. The
plug-in is available for download from the HABWare website (German). You can
then use Director's OBJ converter to convert the OBJ files into W3D files.

Currently, I use Cheetah3D on my MacPro, export as a .obj file and then into
Sw3dC to convert the file to .w3d format. Where is Director's OBJ converter? I
use both Director 11 and Macromedia Director MX2004.

AFAIK it's Windows-only (assuming this is what you're after):

Sean,
It works on D8.5 and D9 only.
It doesn't work on MX2004 or D11 (they should remove that link).
But this one is a great piece of work:

Thanks for the suggestions. I've been in contact with the developer of Sw3dC
and been trying it. He's appears interested in including a Cheetah3D (Mac only)
..jas import in this product. Right now I can export out of Cheetah as both .obj
and .fbx and use this Sw3dC (donation ware) to convert to .w3d Shockwave.
Unfortunately none of the materials, textures or lights export, though colors
do import under .fbx. If there is a converter that imports .mtl and exports
..w3d please let me-know... for Mac, that is. Cheetah can export .mtl.
