I'm also using iTunes 9.2 (61) and OSX 10.6.4. I haven't had your
problem, but today's sync (running now) claims it's updating 857 files
(music, I hope; at least that's what the colored bar at the bottom
seems to indicate).

Problem caused by iToner or the note syncing. I updated iToner to the
2.0.5 and solved my problem (I don't sync notes)
