why does it do this? it does not happen all the time, just sometimes and for
no apparent reason and for any type of updates.

Yes, used to bug the hell out of me also (I have 5 xp computers), until
someone on usenet posted the fix.

Go to start->run and type in gpedit.msc and click ok or press enter.
Under Computer Configuration click the plus left of Administrative
Templates. Then click the plus left of Windows Components.
Click on Windows Update in list that appears.

In right hand pane find:

Do not display 'Install Updates and Shut Down' option in Shut Down
Windows dialog box.

Right click on setting and select properties from menu.

Change setting to 'Enabled' and click ok.

Job done, you can close program.

As someone who writes apps for .Net, why would you care if it gets
installed? It's 20 something megabyes, hardly noteworthy these days.
It doesn't get used unless some application requires it, and more are
going to as we go along.

Peter, thanks for this fix... but... will this still show the yellow shield
icon in
tray (near the system clock) so I can still select updates by clicking on
it?

All updates will appear as the yellow shield. They just won't try to
hide themselves and install on shutdown anymore.
